Terms of Service

1. Who you are contracting with

SpendZen (the "Service") is operated by Subscription Tracker ("we", "us", "our"), trading as SpendZen. By creating an account or using the Service you enter into a binding agreement with Subscription Tracker.

2. Acceptance

By accessing or continuing to use the Service you agree to these terms. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you use it as an individual, you confirm you are of legal age in your country.

3. The Service

SpendZen is a subscription spend management tool for households and businesses. You manually record your recurring subscriptions and we provide dashboards, renewal reminders, spend insights, approvals, and reporting. SpendZen does not connect to your bank account and is not a financial advisor.

4. Your account

You must provide accurate information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity in your workspaces.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or deceptive purpose, including spam;
• infringe the intellectual property or privacy rights of others;
• upload malware, probe, scan, scrape, or otherwise interfere with the security or integrity of the Service;
• reverse engineer, resell, redistribute, or circumvent technical limits or plan entitlements.

6. Licence and intellectual property

We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. Subscription Tracker retains all right, title, and interest in and to the Service, including its software, design, documentation, trademarks, and branding. No rights are granted other than those expressly stated here.

You retain ownership of the data and content you enter. You grant us a limited licence to host and process that content solely to provide the Service to you.

7. Payments, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, applicable taxes, renewals, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Paid plans renew automatically for the interval you selected (monthly or annual) until cancelled; lifetime plans are a one-time payment. Recurring plans include a 14-day free trial unless stated otherwise, and you can cancel at any time before the trial ends. Metered (pay as you go) plans are billed based on the units you track in the billing period. See our Refund Policy.

If a payment fails, we allow a short grace period. If payment still fails, the workspace returns to the Free plan and data above the Free limits becomes read-only.

8. Service level

We work to keep the Service available, but we do not guarantee uninterrupted or error-free performance. Features may change, and maintenance or third-party outages may affect availability.

9. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these terms, fail to pay amounts due, create a security or fraud risk, or repeatedly or seriously violate our acceptable use rules. Where reasonable we will give you notice and an opportunity to fix the problem. You may stop using the Service and delete your account at any time. On termination you may export your data (JSON) for 30 days, after which it may be deleted.

10. Warranties and liability

The Service is provided "as is". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing here excludes liability for fraud, death, or personal injury where that exclusion is not permitted by law.

11. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

12. Changes, assignment, and force majeure

We may update these terms; material changes will be notified in-app or by email. You may not assign this agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.

13. Governing law

These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protections in your country of residence.
